Purchasing: Terms & Conditions (T&Cs)
Introduction
Welcome to the NHSBSA’s Terms & Conditions
(T&Cs) page.
Listed
below are the standard sets of T&Cs which the NHSBSA
applies when procuring and ordering goods and/or services:
•
Purchase of goods
• Purchase of services
• Purchase of IT related products and services
• Supply of a system (IT)
• Provision of support services
• Procurement of tasks and deliverables
In
addition to the above, the following standard documents
are also available:
•
Confidentiality agreement
• Sale of goods (including an acknowledgment of
order)
• Sale of scrap goods (including an acknowledgment
of order)
These
sets of T&Cs have been appropriately revised and
updated to reflect the NHSBSA’s business requirements.
The
T&Cs are suitable for use for procurements which
are not covered by an OGC or PASA framework agreement.
The NHSBSA will specify which set(s) of T&Cs will
apply to a procurement and/or contract award in the
documentation it issues to interested parties.
PLEASE
NOTE that TUPE (Transfer of Undertakings (Protection
of Employment)) regulations may apply to some procurements
and this will affect the T&Cs used.
The
following T&Cs contain a standard and an alternative
TUPE clause and the relevant TUPE clause should be selected
for the procurement:

Purchase of services (please refer to p22 of the T&Cs)
• Purchase of IT related products and services
(p30)
• Supply of a system (IT) (p39)
• Provision of support services (p29)
• Procurement of tasks and deliverables (p39)
